Acquisitions

Business Valuations

Valuations may be required for a number of reasons, including the following:

Selling your business
Buying back the shares of a retiring director
Setting the price for employee share options or management incentive scheme
Resolve tax issues such as capital gains or inheritance tax
Determine the value of a business for divorce proceedings

Therefore, the independence of the valuation can be as important as the value itself. In particular, a valuation undertaken by a professional firm will apply a recognised process to published data, resulting in a robust valuation which can be used where there are conflicting view points.

Our Corporate Finance team have carried out a number of valuations across a variety of different industries over the years and have built up the necessary skill base to undertake these valuation assignments in a timely and cost effective manner.

Particular skills required include:

Technical experience to apply the most appropriate valuation method for the business model and purpose of the valuation;
A high level of research and analysis skills to fully appraise a company’s financial information and understand and apply the relevant market data to that information in order to calculate a value; and
Experience in deal management or, for valuations for tax purposes, Inland Revenue processes so that the appropriate valuation method and presentation is used.

Due Diligence

We prepare reports, which focus on areas of particular interest. The most common form of investigation is carried out in relation to a proposed acquisition or investment in a company or business.

Our role in these circumstances is to review the financial records of the target and provide the potential acquirer/investor with information about the target company upon which to base the investment decision.

During this process:

We work with our client to identify issues of concern whether of a commercial or tax nature and help them understand these issues.
Using information available publicly and that gleaned from our investigations, we will produce a comprehensive report.
We will identify potential risk areas and highlight these for further action.
We will recommend input to the investment or acquisition agreement being drafted by your lawyer.
We WON’T sit on the fence.

Raising Finance

When a company is growing rapidly, for example when contemplating investment in capital equipment or an acquisition, its current financial resources maybe inadequate. Few growing companies are able finance their expansions plan from cash flow alone. They will therefore need to consider raising finance .

Help with the preparation of your business plan and cash flow forecasts.
