How we helped
TSW Training engaged our Corporate Finance team to arrange an acquisition of a local firm.

They supported TSW by:

  • Providing a review of the identified target and advising on price and potential funding;
  • Development of a Business Plan and integrated projections to identify the impact of the acquisition on the existing business;
  • Negotiating the price and structure of the transaction with the vendor;
  • Undertaking high level due diligence;
  • Renegotiating the structure of the deal following due diligence;
  • Negotiating the debt requirement with funder; and
  • Project managing the acquisition process to completion

The Outcome
The successful acquisition of a business that allowed TSW to extend the scope of their training provision into new learner markets, allowing them to effectively deliver training to key sectors identified by the Welsh Assembly Government. TSW are now a significant provider of training for DCELLS across a range of learner groups delivering services with a seven figure value per annum.

Since the original MBO completed in 2007 the management team have doubled turnover and created a strong platform for further growth based on their quality lead offering.
